Terms and Conditions

“Consumer advisory — PayrNet PTE Ltd., the holder of Complete Solution Limited stored value facility, does not require the approval of the Monetary Authority of Singapore. Consumers (users) are advised to read the terms and conditions carefully.”.
 

DEFINITIONS


“Agreement” means these Terms and Conditions, together with the Fee Schedule in accordance with 1.2;
"Applicable Law" means any Singapore or foreign law, rule, statute, subordinate legislation, regulation, by-law, order, ordinance, protocol, code, guideline, treaty, policy, notice, direction or judicial, arbitral, administrative, ministerial or departmental judgment, award, decree, treaty, directive, or other requirement or guideline published or in force at any time which applies to or is otherwise intended to govern or regulate any person (including all parties to this Terms), property, transaction, activity, event or other matter, including any rule, order, judgment, directive or other requirement or guideline issued by any governmental or regulatory authority;
“Available Funds” means at any given time any unspent funds loaded onto Your Card which is available to pay for transactions and fees and charges payable under this Agreement;
“Business Day” means any day other than a Saturday, Sunday or national public holiday on which banks are open for business;
“Card or Prepaid [Visa] Card” means an electronic money pre-paid card issued by the Issuer to You, whose program is managed by Complete Solution Limited pursuant to a contract between the Issuer and Complete Solution Limited;
“Commencement Date” means the date You commence using the Card by activating it;
"Card Network” means the Visa International credit card network;
"Card Network Rules" means the bylaws, rules, regulations, orders, requirements and interpretations issued by the Card Network or otherwise communicated to the Issuer and which are applicable to the acceptance of Card Transactions by the merchants and related matters in Singapore, as amended from time to time by the Card Network;
“Expiry Date” means the date printed on Your Card which is the date Your Card will cease to work;
“Fee Schedule” means all fees imposed by us, Issuer and/or the Card Network in relation to the use of the visa Card(s) which can be found on the Website.
“Issuer” means the issuer of the Card, PayrNet PTE Ltd
“Parties” means Complete Solution Limited, the Issuer and the cardholder. “PIN” means Your unique personal identification number which is provided to You for use with Your Card;
"Terms" means these terms and conditions;
“We, Us or Our” means Complete Solution Limited;
“You” or “Your” refers to the cardholder;
“Website” means website at [www.cardportal.com].
 

1. PREPAID CARD AGREEMENT

 

1.1 This Agreement sets out the general Terms and Conditions that apply to the Intercash Prepaid Visa Card. A reference to the words “use”, “using” or “use of” any Card shall mean use of the physical Card or any detail or particular of the Card including but not limited to the Card Account number and expiry date of the Card or use via such other permitted means or channels as we may designate or allow from time to time. A reference to the words “you “,” your “and” Cardholder “mean the person named on the Card and the words “we”, “our” and “us” refer to Complete Solution Limited. Words importing the singular include the plural and vice versa. Words importing the masculine gender include the feminine or neuter gender and vice versa. References to persons are to be construed as references to an individual, company or trust as the context requires. Clause and other similar headings are for ease of reference and shall not affect the interpretation of any provision herein.
1.2 These Terms and Conditions must be read in conjunction with the Fee Schedule which can be found on the Website, which describes the specific features, terms, conditions and fees applicable to Your Card. Together, these documents form an Agreement between You, the Issuer and Us governing the possession and use of the Card. By activating the card, You agree to these Terms and Conditions and the Intercash Membership in the Agreement. If there is a conflict between the Terms and Condition and the Fee Schedule, the relevant term or condition in the Fee Schedule will apply.
1.3 The Prepaid Card is issued by PayrNet PTE Ltd. Ltd. (UEN: 199906900E), a company incorporated in Singapore which is a member of the Visa Card Network. PayrNet PTE Ltd is the holder of the stored value facility. At all times the Card remains the property of PayrNet PTE Ltd..
1.4 Complete Solution Limited is the organization that manages all the functional aspects of the card program on behalf of the Issuer and the Card Network
1.5 This Agreement will commence on the Commencement Date and will terminate in accordance with Condition 9
1.6 These Terms are concluded in the English language and all communications including any notices or information being transmitted shall be in English. In the event that these Terms or any part of it is translated (for any proceedings, for your convenience or otherwise) into any other language, the English language text of these Terms shall prevail.

2. THE PREPAID CARD & SERVICES

 

2.1 The Prepaid Card is a pre-paid card under the Visa card scheme which can be used to pay for goods and services at retailers which accept Visa cards. Card Transactions made on your Prepaid Card will be settled by the Issuer on the Card Network and you authorise the Issuer to debit your Prepaid Card with the amount of all Card Transactions and any relevant Fees for this purpose. We cannot guarantee that a particular retailer will accept the Card – please check with the retailer before attempting the transaction if You are unsure. You must not effect any transactions that exceed the
Available Funds. If any purchase or withdrawal made by you exceeds the Card Limits and/or balance in your Prepaid Card, the transaction will be declined.
2.2 You acknowledge that each physical Prepaid Card is and remains at all times the property of the Issuer and you shall:
(a) exercise all due care and diligence in the custody, care and use of the Prepaid Card;
(b) not tamper or allow anyone to tamper, with the Prepaid Card;
(c) not permit the Prepaid Card to be used in any unauthorised manner, including sharing the use of the Prepaid Card with another person;
(d) not intentionally deface or damage the Prepaid Card; and
(e) not affix, print or attach anything or matter onto the Prepaid Card or otherwise alter, remove or replace any notice, logo or design on the Prepaid Card.
2.3 The Card is a prepaid card not a credit card, cheque guarantee card nor charge card and is not linked to Your bank account. You must ensure that You have sufficient Available Funds on the Card to pay for each purchase, payment or cash withdrawal (subject to section 6.5) using the Card. The Card is intended for use as a means of payment, and funds loaded onto the Card do not constitute a deposit. You will not earn interest on the balance of the Card. The Card will expire on the Expiry Date and will cease to work. Please check the Fee Schedule and Condition 8 of this Agreement for further information.
2.4 When You receive Your Card, it will be issued to You in an inactive state. You will need to activate it by visiting www.cardportal.com prior to use. The Card will normally be ready for use one hour after activation. If You don’t activate Your Card, any transactions that You attempt to carry out will be declined.
2.5 You are responsible for all Card Transactions incurred on your Prepaid Card. You shall not use your Prepaid Card in relation to any transaction or activity which is illegal or prohibited under Applicable Laws in the jurisdiction where such transaction or activity is effected or in your country of residence. You shall be liable for all Card Transactions whether or not executed with your knowledge or authority, regardless of how such transactions were effected, including without limitation where arising in connection with any negligence on your part. In this regard you acknowledge the risk of unauthorised Card Transactions being carried out and accept the risk of such unauthorised Card Transactions.
2.6 You shall keep the Card Data of all your Prepaid Cards strictly confidential and not share the Card Data with any persons other than as necessary to conduct a transaction. When sharing Card Data with merchants, you will take all precautions to ensure the security and continued confidentiality of the Card Data. For the avoidance of doubt, providing Card Data in clear text over fax, email or other unencrypted or otherwise unprotected media is not considered to be secure. Neither the Issuer, Complete Solution Limited, nor their respective affiliates shall under any circumstances be liable to you for unauthorised transactions caused by your failure to keep the Card Data secure.
2.7 You shall promptly notify us without undue delay upon discovering that there has been any:
(a) inappropriate or unauthorised disclosure of and/or use of your PIN, Card and/or any of the Card
Data;
(b) loss or theft and/or
(c) inappropriate or unauthorised access to and/or use of any of the cards provided by Complete Solution Limited and you shall promptly take such steps as may be specified by us in relation to the foregoing matters (including to change your PIN). We and the Issuer are not liable for any loss or damage which you may suffer if you fail to receive the Card and/or the PIN.
2.8 Complete Solution Limited and the Issuer reserves the right to update, change, remove, suspend, disable or restrict access to or discontinue the Prepaid Card or change any features, component or content thereof at any time, for any reason, without notice or liability to you. Complete Solution Limited does not guarantee that any specific content, component and/or feature will always be available on the Complete Solution Limited Services.
 

3. ONBOARDING & IDENTIFICATION

 

3.1 By signing up for the use of the Prepaid Card, verifying your account, and activating the corresponding account, you represent warrant to us and the Issuer that:
(a) You are an approved user of Complete Solution Limited who has completed the registration process and received an approval email from Complete Solution Limited;
(b) You have read, understood and agreed to our Privacy Policy which are published on the Site;
(c) you are at least eighteen (18) years of age;
(d) you have the full right, power, and authority to agree to these Terms;
(e) you do not currently hold a Prepaid Card (under any same or different name); and
(f) you are not impersonating any other person, operating under an alias or otherwise concealing your identity;
3.2 You acknowledge and agree that in order for the card to be activated, Complete Solution Limited and the Issuer shall be entitled to undertake and complete KYC/CDD and such other checks and screenings required by law or otherwise to comply with our/the Issuer’s internal policies (“Checks”), at any time we deem necessary, whether directly or through third parties. In this regard, you confirm and consent to do all things necessary to enable us and the Issuer to perform such Checks, including but not limited to providing us with applicable personal identification documentation, proof of address and such other evidence that we may request from time to time.
3.3 In addition to the above, you agree to provide us and the Issuer with all information and/or documents requested by the same (including such information and/or documents as may be required by us/the Issuer for compliance with Applicable Laws) from time to time.
3.4 In this regard, you authorize Complete Solution Limited/the issuer and the third parties who act on our/the Issuers behalf to collect your personal data and to conduct such Checks and screenings as described above, whether such Checks and screenings are conducted by Complete Solution Limited/the Issuer or via third parties. You agree to cooperate with all requests made by us and/or the Issuer or any of our and/or the Issuer's third party service providers on our and/or the Issuer's behalf in connection
with your Prepaid Card, and warrant that you have the power and authority to provide the information and documents submitted to any of the aforementioned parties.
3.5 Complete Solution Limited and/or the Issuer is entitled, in their sole discretion, to refuse your application for or to suspend, terminate or limit your use of the Prepaid Card, and/or to change the eligibility criteria for registration at any time.
3.6 We and/or the Issuer may confidentially verify the information you provide us/the Issuer with or obtain information on you ourselves or through third parties from secure databases. By agreeing to these Terms, you confirm that you consent to us and/or the Issuer or a third party carrying out such verifications on our/the Issuer’s behalf.
3.7 You represent and warrant that all the information provided to us and/or the Issuer, or any of our and/or the Issuer's third party service providers, is true, complete accurate and up to date. Should you discover any inaccuracies or if there are changes to the details provided to us (for example change of address), you must notify Complete Solution Limited who will in turn provide notification to the Issuer. If at any time the aforementioned parties believe that your information is outdated or inaccurate, we may contact you and request further information or request that you go through the verification process again. Failure to complete any step of the registration process may also result in your inability to use the Prepaid Card.
3.8 By law, We and the Issuer have to keep basic information about our customers (including Contact, Identity, Financial and Transaction Data) for at least 5 years after they cease being customers for regulatory purposes.
 

4. FEES AND CHARGES

 

4.1 The fees and charges associated with this Card form an integral part of these Terms and Conditions. All fees and charges are described in the Fee Schedule, will be issued to You along with these terms and conditions and which will be found on Our Website or issued upon request by contacting Our Customer Services team in accordance with Condition 14 or by emailing help.prepaid3@cardportal.com. You should be aware that other taxes or costs may exist that are related to the Card but are not paid via Us/the Issuer or imposed by the same. Additional fees may apply for all changes involving card limits.
4.2 If for any reason You did not receive a copy of the Fee Schedule, or should You have any queries about the fees and charges, please contact Us using the details in Condition 4.1, above.
 

5. HOW TO USE THE CARD

5.1 The Prepaid Card is not a credit card, charge card or cheque guarantee card; hence usage thereof shall be dependent on the Available Funds.
5.2 A Card may only be used by the person to whom the Card was issued for the purpose of purchasing goods/services. The Cards are non-transferable, and You are not permitted to allow any other person to use the Card, for example by disclosing Your PIN or allowing them to use Your Card details to purchase goods/services via the internet. Prior to use, the Card should be signed on the signature strip located on the back of the Card.
5.3 You may use your Card and/or PIN for effecting authorised transactions and/or Card-Not-Present transactions (internet purchases, point of sale, mail/telephone order). Cash withdrawals using your Card are subject to the restrictions set forth in section 6.5. No other person is allowed to use the Card and/or PIN to make any transactions. We may determine at our sole discretion the facilities that you may utilise using your PIN. Should we decide to, we may also modify any such facilities and provide notice of this on our Website 30 days prior to the change.
5.4 Once Your payment is authorized in line with the rules and procedures of the payment scheme (Visa network), the transaction cannot be stopped or revoked.
5.5 Once the transaction has been authorized, We/the Issuer will deduct the value of the transaction, plus any applicable fees and charges, from the Available Funds on the Card. Under normal circumstances, if any payment is attempted that exceeds the Available Funds on the Card the transaction will be declined. In certain circumstances, a transaction may take Your Card into a negative balance. where there is a negative balance on Your Card You are required to make up the shortfall and, until there are Available Funds on Your Card, We/the Issuer may restrict or suspend the use of Your Card.
5.6 The Card may be used in full or part payment for purchases. In the case of part payment, the cardholder will be required to pay the outstanding amount of the purchase by an alternative means, for example, cash or debit card or credit card.
5.7 If You use Your Card for a transaction in a currency other than the currency that the Card is denominated in, the transaction will be converted to the currency that the Card is denominated in by the Visa scheme network at a rate set by Visa International Incorporated. The exchange rate varies throughout the day and is not set by Us/the Issuer, therefore we/the Issuer are not responsible for and cannot guarantee You will receive a favorable exchange rate.
5.8 Normally, We will be able to support transactions 24 hours per day, 365 days per year. However, We/the Issuer cannot guarantee this will be the case, and in certain circumstances – for example a serious technical problem – We may be unable to receive or complete transactions.
 

6. RESTRICTIONS ON USE OF CARD

 

6.1 You must ensure that You have sufficient Available Funds on Your Card to pay for each purchase, payment or cash withdrawal (subject to section 6.5) using the Card.
6.2 The Card is not linked to a bank deposit account and is not a cheque guarantee card, charge card or credit card, nor may it be used as evidence of identity.
6.3 The Card may not be used for preauthorized regular payments, or for any illegal purposes.
6.4 We/the Issuer may restrict or suspend use of Your Card without notice if We/the Issuer identify or suspect that suspicious, fraudulent or illegal activities are being carried out in relation to the Card, if We/the Issuer believe You have not complied with these terms and conditions, or in the event of exceptional circumstances which prohibit the normal operation of the Card.
6.5 Unless it would be unlawful or impracticable for Us to do so, where We/the Issuer stop or suspend the use of Your Card in accordance with Condition 6.4, We will notify You of this and Our
reasons for doing so, by sending an email to the email address You provided Us with when You obtained the Card. Where it is not possible to notify You before We stop or suspend the Card, We will notify You as soon as possible after We have stopped or suspended the Card unless it would be unlawful to do so.
6.6 The Card cannot be loaded by You. Should You have any questions about ways to load Your Card please contact Our Customer Services team in accordance with Condition 14.
 

7. MANAGING YOUR CARD

 

7.1 You may check the balance and Available Funds on Your Card or view a statement of recent transactions by visiting the website or alternatively You may call Our Customer Services team for this information in accordance with Condition 14 below.
 

8. EXPIRY OF THE CARD

 

8.1 Your Card will expire on the Expiry Date. On that date, subject to Condition 8.2 below, the Card will cease to function and You will not be entitled to use the Card.
8.2 In some cases, We may issue a new Card to You shortly before the Expiry Date, however We are not obligated to do so, and may elect not to issue a replacement Card at Our sole discretion.
8.3 Any arrangements for the issue of a replacement Card in accordance with Condition 8.2 above, will be described in the Fee Schedule.
8.4 You have the ability to claim funds up to one year following the expiry of the Card. To do so please contact Our Customer Services team in accordance with Condition 14. Card expiry/dormancy fees will apply according to the Fee Schedule, and be deductible from the corresponding funds before their return to you. Upon the ending of this one-year period following the expiry of the Card, any remaining balance will no longer be redeemable to you and the Issuer has the right to retain the corresponding funds.
 

9. LIMITATION OF SERVICES / TERMINATION

 

9.1 The Issuer or Complete Solution Limited (as the case may be) may at any time, without notice and in its sole and absolute discretion, terminate, suspend or limit your use, or the functionality, of the Complete Solution Limited Services (including freezing or closing your Prepaid Card, refusing to process any Card Transactions, or reversing any Card Transaction that you have effected), including:
(a) in the event of any breach by you of these Terms, the terms of the Issuer, or all other applicable terms;
(b) for the purposes of complying with Applicable Laws;
(c) where Complete Solution Limited and/or the Issuer suspect that a transaction effected by you is potentially connected to any unlawful activities (including but not limited to money laundering, terrorism financing and fraudulent activities); or
(d) as may be informed by its internal risk monitoring policy
9.2 Complete Solution Limited/the Issuer reserves the right to reverse transactions, cancel the card, and/or refuse to honor any pay-out if you are found in breach of any of these terms, whether directly or indirectly, voluntarily or involuntarily.
9.3 Your obligations under these Terms will continue and the Issuer shall remain to be entitled to debit your Prepaid Card Balance for any amount and charges incurred in or related to Card Transactions that are carried out before or after the termination/expiry of your Prepaid Card and you shall continue to remain liable to Complete Solutions Limited for such amounts and charges until they are paid in full.
9.4 You shall not be entitled to any payment, compensation or damages from us/the Issuer in relation to any suspension or termination of your use of the Prepaid Card for any reason whatsoever. Any suspension or termination of your use of the Prepaid Card for any reason whatsoever shall not release you from any liability or responsibility on your part, which at the time of such suspension or termination, has already accrued.
9.5 The Issuer's and Complete Solution Limited’s’ rights of suspension and termination under these Terms shall be without prejudice to any other rights or remedies which the Issuer and/or Complete Solution Limited may have (whether under these Terms, at law, in equity or otherwise).
9.6 You may request Termination at any point in time of your Prepaid Card and for the refund of your entire Prepaid Card Balance ("User Termination"). Requests for a User Termination may be submitted to Our Customer Services team at help.prepaid3@cardportal.com.
9.7 In order to process your request for a User Termination, the Issuer and/or Complete Solution Limited may ask you to provide your photograph identification documents and other details for identification purposes to enable the Issuer and/or Complete Solution Limited to comply with Applicable Laws.
9.8 The Issuer and/or Complete Solution Limited may, subject to Applicable Laws, delay, deny, or reduce the amount returned to you if necessary to ensure that the requested reduction does not result in a negative Prepaid Card Balance.
9.9 The Issuer and/or Complete Solution Limited, in their sole and absolute discretion, will determine how (e.g. bank transfer) your remaining Prepaid Card Balance will be returned to you. Your remaining Prepaid Card Balance will only be returned to you, the holder of the Prepaid Card, via the bank account that was used to top up the Card with and not to any other person.
 

10. KEEPING YOUR CARD AND DETAILS SAFE

 

10.1 We/the Issuer will assume that all transactions entered into by You with Your Card or Card details is made by You unless You notify Us in accordance with Condition 11.1.
10.2 You are responsible for keeping Your Card and its details safe. This means You must take all reasonable steps to avoid the loss, theft or misuse of the Card or details. Do not disclose the Card details to anyone except where necessary to complete a transaction. You should be happy that the retailer or service provider is genuine and has taken adequate steps to safeguard Your information before proceeding with the transaction and supplying them with the physical Card or details.
10.3 You must keep Your PIN safe at all times. This includes:
(a) Memorizing Your PIN as soon as You receive it, and destroying the letter or other document on which We provided the PIN to You immediately. If You need to write down Your PIN in order to help You remember it, You must make sure it is well disguised;
(b) never writing Your PIN on Your Card or on anything You usually keep with Your Card;
(c) keeping Your PIN secret at all times, including by not using Your PIN if anyone else is watching; and Failure to comply with this may be treated as gross negligence and may affect Your ability to claim any losses. NEVER COMMUNICATE YOUR PIN TO ANYONE IN WRITING. This includes printed messages, e-mails and online forms.
 

11. LOST, STOLEN OR DAMAGED CARDS

 

11.1 If You lose Your Card or it is stolen or damaged please notify us without undue delay by telephoning Our Customer Services team in accordance with Condition 14 of this Agreement. You will be asked to provide Your Card number and other information to verify that You are the authorized cardholder. Following satisfactory completion of the verification process, We will then immediately block any lost or stolen Card to prevent unauthorized use and cancel any damaged Card to prevent further use. You may also block you card directly on your prepaid card portal.
11.2 After You have notified Us of the loss, theft or risk of misuse, and providing that We are able to identify Your Card and satisfy certain security checks, We may issue a replacement Card and/or PIN to You. Certain fees may apply for the re-issue of a lost or stolen card.
11.3 If We believe You have acted fraudulently, or if We believe You have intentionally or with gross negligence failed to keep Your Card or its details safe at all times, We will hold You liable for all transactions and any associated fees.
 

12. PURCHASES FROM RETAILERS

 

12.1 The Prepaid Card is a pre-paid card under the Visa card scheme which can be used to pay for goods and services at retailers which accept Visa cards
12.2 We are not responsible for the safety, legality, quality or any other aspect of the goods and services purchased with the Card.
12.3 Where a retailer provides a refund for any reason (for example, if You return the goods as faulty) it can take several days for the notification of the refund and the money itself to reach Us. As such, please allow 5-10 days from the date the refund was carried out for the refund to be applied to Your Card.
 

13. TRANSACTION DISPUTES

 

13.1 You shall contact Our Customer Services team at help.prepaid3@cardportal.com without undue delay in the event of any dispute regarding the validity of any Prepaid Card transaction or request for chargeback no later than sixty (60) days after the transaction date in accordance a dispute to be reviewed and raised. Complete Solution Limited will assist you in resolution of the dispute or direct such request to the Issuer and/or Card Network for processing.
13.2 You will be required to comply with the Card Network Rules in relation to such dispute or chargeback request, including furnishing a written explanation of the dispute or chargeback request and/or a copy of the related sales transaction receipt and any other information and supporting documents that Complete Solution Limited, the Issuer and/or the Card Network may require.
13.3 Complete Solution Limited and the Issuer reserve the right to investigate any disputed transaction. In the event of any investigation by Complete Solution Limited, the Issuer or competent authority, you agree to provide assistance and cooperate by providing us with any additional information and/or documentation. Fees may apply for any associated investigation.
13.4 In the event of any disputed transaction, if evidence reasonably conclude that such disputed transaction is a result of your willful default, fraud, gross negligence or failure to comply with these Terms, you agree and authorise us/the Issuer to debit your account with the amount from the disputed transaction and any such associated charges and fees.
13.5 Any Fees imposed by Complete Solution Limited, the Issuer and/or the Card Network for the processing of such dispute or chargeback request may be deducted from the Prepaid Card Balance or claimed from you and shall not be refundable for any reason whatsoever.
13.6 You hereby agree and accept that (a) Complete Solution Limited, the Issuer and/or Card Network may, but are not obliged to (whether under these Terms or otherwise) assist you with or process your dispute or chargeback request; and (b) the decisions of Complete Solution Limited, the Issuer and/or Card Network on all matters relating to or in connection with such dispute chargeback request is final and conclusive and binding on you for all purposes unless otherwise provided in such terms, conditions, rules, procedures and/or guidelines as may be issued by the Card Network from time to time. You acknowledge and agree that the repayment of any amount previously charged to your Prepaid Card may be subject to such terms, conditions, rules, procedures and/or guidelines as may be issued by the Card Network from time to time.
13.7 In any event, you acknowledge and agree that Complete Solution Limited, the Issuer and the Card Network shall not be liable to you in respect of any matter relating to or arising out of such dispute or chargeback request.

15. LIMITATION OF LIABILITY

 

15.1 Except as expressly provided in these terms, to the fullest extent permitted by law, the issuer and complete solution limited disclaim all other representations or warranties, express or implied, made to you, your affiliates or any other person, including without limitation, any warranties regarding quality, suitability, merchantability, fitness for a particular purpose or otherwise (regardless of any course of dealing, custom or usage of trade) of any service or any goods provided incidental to the complete solution limited services provided under these terms. the issuer's and complete solution Limited’s liability in respect of representations and warranties that cannot be excluded is limited, at its option, to
any one of re-supplying, replacing or repairing, or paying the cost of the re-supplying, replacement or repairing, or paying the cost of supplying again the services in respect of which the breach occurred.
15.2 notwithstanding anything in these terms, to the extent permitted by law, in no event shall the issuer or complete solution limited or any of its representatives be liable to you: (a) for any losses or damage or claims (i) due to an unusual or unforeseeable event, outside the reasonable control of the issuer or complete solution limited and the consequences of which could not have been avoided even if all due care had been exercised (including but not limited to force majeure, events of war or civil unrest, natural disasters, strike, lock-out, traffic disruption, acts of domestic or foreign governmental authorities); (ii) arising from or in connection with: (a) any delay, suspension, discontinuance or failure of complete solution limited services/the issuer; (b) any rejection of the prepaid card; (c) any refusal to process or authorise any transaction for any reason; (d) your inability to effect or complete any transaction due to system maintenance or breakdown / non- availability of the complete solution limited services/the issuer network, our hardware or software or that of any third parties; (e) use of your enabled device and the complete solution limited services by third parties, whether authorized or unauthorized by you; (f) any theft or loss of your enabled device; (iii) caused by the issuer or complete solution limited due to their compliance with applicable laws, court orders, and/or card network rules; and (b) arising out of or in connection with these terms for lost profits, lost revenues, lost business opportunities, exemplary, punitive, special, incidental, indirect or consequential damages, each of which is hereby excluded by agreement of the parties to these terms, regardless of whether such damages were direct or indirect, foreseeable or unforeseeable, or whether the issuer or complete solution limited or their representatives have been advised of the possibility of such damages.
15.3 In any case, the total liability of the Issuer and Complete Solution Limited arising out of or in connection with the provision of any service under these Terms shall be limited to your Prepaid Card Balance as of the date your claim arises. For the avoidance of doubt, Complete Solution Limited undertakes to indemnify the Issuer for any such sums and liability.
15.4 The Issuer and Complete Solution Limited shall not be liable for fault on the part of any third party service providers instructed by us. In such cases, the Issuer's and Complete Solution Limited 's liability shall be limited to using reasonable care in the selection, appointment and instruction of such third party service providers (but not of any sub-contractor).
15.5 In the unlikely event that PayrNet PTE Ltd. Ltd became insolvent, Your Card may become unusable and any funds associated with Your Card may be lost. By using Your Card and by entering into this Agreement You are indicating that You understand and accept these risks.
15.6 Nothing in these Terms shall operate to limit or exclude any liability for fraud or for death or personal injury resulting from negligence.
15.7 A person or entity who is not a party to these Terms shall have no right under the Contracts (Rights of Third Parties) Act, chapter 53B of Singapore to enforce any term of these Conditions, regardless of whether such person or entity has been identified by name, as a member of a class or as answering a particular description. For the avoidance of doubt, nothing in this paragraph shall affect the rights of any permitted assignee or transferee of these Term.


16. YOUR PERSONAL INFORMATION

 

16.1 By using the Complete Solution Limited Services, you confirm that you have read and understood our Privacy Policy and consent to us collecting, using, disclosing and sharing amongst ourselves your Personal Data and disclosing such Personal Data to our authorised service providers and their relevant third parties for purposes reasonably required by us to facilitate and administer your use of the Cards.
 

17. CHANGES TO THESE TERMS AND CONDITIONS

17.1 These Terms and Conditions may be changed or amended by Us at any time for legal, regulatory, commercial or security reasons or to enable the proper delivery of or to improve the delivery of the Card scheme.
17.2 If any changes are made they will be publicized on Our Website 30 days before the changes take effect (unless the law requires or permits Us to make a more immediate change or in the event of a change to the exchange rate). Copies of the most up-to-date version of the Terms and Conditions will be made available on Our Website at all times and will be available on request.
17.3 It is Your responsibility to check the Website regularly for changes to Our Terms and Conditions. We will assume that You have done so, and will be entitled to assume You have accepted any changes to these Terms and Conditions if You have not notified Us that You do not accept the change prior to the date the change takes effect and continue to use the Card. If You do not accept a change, You may end this Agreement in accordance with Condition 9.

 

18. ELECTRONIC COMMUNICATIONS


18.1 You shall accept full responsibility for the security and authenticity of all instructions sent via Complete Solution Limited and you shall be bound by all such Instructions.
18.2 You are aware that Instructions and information transmitted via Complete Solution Limited are generally transmitted via the Internet and may be routed via public, transnational installations which are not specifically protected. We cannot guarantee that the Instructions and information transmitted will in fact be completely protected against such unauthorised access, and you accept these associated risks.
18.3 You agree that sections 13(1) to 13(4) of the Electronic Transactions Act (Chapter 88 of Singapore) shall not apply to your use of the Complete Solution Limited Services and, without prejudice to any of the terms in these Terms, that you shall be liable for any damage that may be caused through the use of the Internet – i.e. through loss, delay, misunderstandings, corrupted texts, unauthorised interceptions by third parties or duplicates.
18.4 You acknowledge and agree that in the event of any dispute arising in connection with your use of the Complete Solution Limited Services, our records (including electronic, computer) of all matters relating to your use of the Complete Solution Limited Services and/or of you (including Transaction History) at any specified date shall be conclusive of their accuracy and authenticity and shall be binding on you for all purposes whatsoever. In addition, you agree to the admissibility of such documents without further requirement of proof of authenticity or accuracy in a court of law under applicable evidentiary law, rules and/or regulations.
 

19. INDEMNIFICATION


19.1 You agree to indemnify and hold the Issuer and Complete Solution Limited, each of their affiliates and third party service providers, and each of their respective officers, directors, agents, joint ventures, employees and representatives, harmless from any claim or demand (including attorneys’ fees and any fines, fees or penalties imposed by any regulatory authority) arising out of or related to (i) your breach of these Terms; (ii) your use of the Complete Solution Limited Services, and/or the Prepaid Card; (iii) your violation of any rule or regulation, or the rights of any third party; and (iv) any transactions resulted from your willful default, fraud, gross negligence or breach of these Terms.

 

20. GOVERNING LAW AND JURISDICTION
 

20.1 These Terms shall be governed by and construed in accordance with Singapore law. The Parties agree to submit all disputes arising out of or in connection with these Terms to the exclusive jurisdiction of the Singapore courts.
 

21. ASSIGNMENT


21.1 We may assign the benefit and burden of this Agreement to another company at any time by giving You 30 days’ notice of this. If We do this, Your rights will not be affected.

 

22. SEVERABILITY


22.1 If any provision of these Terms and Conditions is found to be invalid, the invalidity of such provision shall not affect the validity of the remaining provisions of these Terms and Conditions, which shall remain in full force and effect.
 

23. WAIVER


23.1 Failure or neglect by us/the Issuer to enforce at any time any of the provisions in these Terms and Conditions shall not be construed or deemed to be a waiver of our/the Issuer’s rights hereunder, nor in any way affect the validity of the whole or any part of these Terms or prejudice our right to take subsequent action
